1. Introduction

Welcome to Mcars PH, operated under Manalang Auto Trading (“we,” “our,” or “us”). By accessing, browsing, or using our website and services—including car listings, rent-to-own applications, or affiliate programs—you agree to comply with and be bound by these Terms and Conditions. If you do not agree with any of these terms, please refrain from using our services.

2. Definitions

• Mcars PH / Manalang Auto Trading – the registered business entity operating the Mcars PH platform and its services.
• Buyer – any individual purchasing or applying for a car through Mcars PH, including those under Rent-to-Own terms.
• Renter / Rent-to-Own Client – an individual under a valid Rent-to-Own contract managed by Mcars PH.
• Seller – any individual listing a vehicle for sale or trade-in on Mcars PH.
• Partner Vehicle Owner – a registered car owner whose vehicle is placed under Mcars PH’s Rent-to-Own management (not considered a seller).
• Affiliate / Agent – a verified individual or representative promoting Mcars PH and assisting buyers with inquiries or transactions.
• Website / Platform – refers to Mcars PH’s official website, online systems, and authorized digital channels.

3. Use of the Website and Services

By using our platform, you agree to:

• Provide truthful and complete information when registering, listing, or applying.
• Use the platform lawfully and avoid fraudulent, misleading, or unethical activity.
• Not reproduce, distribute, or exploit any Mcars PH data or material for unauthorized purposes.
• Acknowledge that Mcars PH reserves the right to suspend or terminate access to users who violate these terms.

4. Buyers

By purchasing or inquiring about a vehicle through Mcars PH, Buyers agree that:

• All listings and prices are subject to verification and availability.
• Mcars PH acts as a facilitator between the Buyer and the Seller or Partner Vehicle Owner.
• Mcars PH does not guarantee vehicle performance, but ensures that vehicles undergo reasonable inspection or are properly disclosed.
• Buyers must review and sign all documentation before payment or transfer of ownership.
• Payments should be made only to official Mcars PH accounts or authorized representatives.
• Mcars PH shall not be held liable for any misrepresentation or payment made outside official channels.
• Buyers are encouraged to verify vehicle condition and documents before completing the purchase.

4-A. Renters / Rent-to-Own Clients

By applying for or entering into a Rent-to-Own program under Mcars PH, Renters agree to the following:

Compliance with the Official Rent-To-Own Contract

• All Renters must strictly follow the terms, policies, and payment schedules stated in Mcars PH’s Official Rent-To-Own Contract.
• This Contract serves as the primary legal agreement between Mcars PH and the Renter.
• Any violation or non-compliance with the Rent-To-Own Contract shall be considered a breach of these Terms and Conditions.

Application and Verification

• Renters must submit valid documents, including government IDs, proof of income, and proof of billing.
• All information must be truthful and verifiable. Providing false or fraudulent information may result in rejection or termination.

Payment Terms

• Monthly payments must be made on or before the due date as stated in the Rent-To-Own Contract.
• Failure to pay for two consecutive months may lead to contract termination and vehicle repossession.
• Only payments made through official Mcars PH payment channels will be recognized.

Vehicle Use and Responsibility

• The Renter must use the vehicle responsibly and in accordance with Philippine traffic and safety laws.
• The Renter is responsible for keeping the vehicle in good condition and must not use it for illegal or commercial activities unless authorized.
• The Renter is prohibited from selling, mortgaging, sub-rent, sub-lease, use the subject vehicle as collateral and any other acts related thereto or transferring the vehicle during the Rent-to-Own period.

Insurance and Maintenance

• Insurance coverage, if any, will be based on what is stated in the Rent-To-Own Contract.
• The Renter shall handle periodic maintenance and repairs at their own expense unless otherwise agreed upon in writing.

Ownership Transfer

• Legal ownership will be transferred only after full payment and completion of all contractual obligations.
• Mcars PH or the Partner Vehicle Owner will then facilitate ownership transfer through LTO and proper legal process.

Termination and Legal Action

• Mcars PH reserves the right to terminate the Rent-to-Own agreement in cases of default, contract violation, or misuse.
• Mcars PH may recover the vehicle, enforce penalties, or take legal action under due process of law.
• Any dispute shall be governed by Philippine law and subject to the jurisdiction of appropriate courts.

5. Partner Vehicle Owners

Partner Vehicle Owners who place their vehicles under Mcars PH management agree that:

Nature of Relationship

• Mcars PH acts as a facilitator and program manager, not a buyer.
• Ownership of the vehicle remains with the registered owner until the Rent-to-Own client fulfills all payment obligations.

Compliance with Legal Agreements

The Rent-to-Own Partner must strictly comply with and respect the terms of the following legal instruments:

• The Memorandum of Agreement (MOA) between Mcars PH and the Partner.
• The Special Power of Attorney (SPA) granting Mcars PH the authority to manage, market, and process the vehicle.

These documents are binding and enforceable under Philippine law, and any violation constitutes a breach of agreement.

Adherence to the Rent-To-Own Contract with the Client

• The Partner agrees to honor and respect the Rent-To-Own Contract entered into between Mcars PH and the Renter/Client.
• The Partner shall not take any action, directly or indirectly, that violates or undermines the terms agreed upon with the Renter.
• Any disputes or concerns related to the vehicle must be coordinated through Mcars PH in accordance with the MOA and SPA.

Data and Transparency

• Mcars PH may share necessary details of the vehicle and loan information with the Renter for transparency and documentation purposes.

Restrictions and Obligations

• The Partner shall not withdraw, repossess, or sell the vehicle while it is under an active Rent-to-Own program.
• The Partner must cooperate with Mcars PH in the transfer of ownership once the Rent-to-Own contract is fully completed.

Breach and Legal Remedies

• Violation of the MOA, SPA, or Rent-To-Own terms may result in contract termination and legal action.
• Mcars PH reserves the right to pursue remedies under civil and commercial law, including damages and enforcement of specific performance.

6. Sellers

Sellers listing vehicles for sale agree to:

• Provide complete and accurate information about the vehicle.
• Ensure that the vehicle is free from legal disputes or falsified documents.
• Allow Mcars PH to display vehicle images and descriptions for marketing purposes.
• Authorize Mcars PH to verify registration and ownership before listing approval.

7. Affiliates and Agents

Affiliates and Agents authorized by Mcars PH agree that:

• Their contact information may be shared publicly with potential buyers.
• They must only use authorized personal contact details when assisting clients.
• They must not accept payments outside official Mcars PH channels.
• Misconduct or misuse of client information may result in termination or legal action.

8. Data Privacy and Legal Disclosure

Mcars PH complies with the Data Privacy Act of 2012 (RA 10173) and DTI client data handling standards. We may share data only with:

• Authorized personnel for verification, transaction, or after-sales support; and
• Courts or government agencies upon lawful request and due process.

9. Payments and Transactions

• Only payments made to official Mcars PH channels or representatives are valid.
• Mcars PH will not be responsible for any loss caused by third-party or unauthorized transactions.
• Payment terms and penalties are detailed in the Buyer’s or Renter’s official agreement.

10. Limitation of Liability

Mcars PH shall not be liable for:

• Damages caused by misuse, negligence, or breach of agreement.
• Disputes arising from unauthorized actions by external parties.
• Technical issues, downtime, or data loss beyond our control.

11. Intellectual Property

All website content, branding, text, and materials are owned by Manalang Auto Trading / Mcars PH. Unauthorized reproduction, redistribution, or modification is prohibited.

12. Legal Compliance and Enforcement

Mcars PH operates in full compliance with Philippine laws and regulations. We may disclose necessary data to courts or authorities when required by law.

13. Termination

Mcars PH reserves the right to suspend or terminate accounts or access to services in cases of:

• Fraudulent activity
• Breach of contract
• Violation of these Terms

14. Updates to Terms

Mcars PH may revise these Terms periodically. Any updates will be posted with a new effective date. Continued use of our services constitutes acceptance of the updated Terms.
